This End User License Agreement (“Agreement”) is a legal contract between you (“End User”, “you”, or “your”) and Wrkfloz, Inc. (“Wrkfloz”, “we”, “us”, or “our”) governing your use of the Wrkfloz software, platform services, and related documentation (“Licensed Software”).
 

1. License Grant
Subject to this Agreement and your active subscription or valid access under an Order Form, Wrkfloz grants you a:
Limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Licensed Software solely for internal business purposes.

Access is restricted to the number of users, instances, and environments specified in your contract.

This license does not convey any ownership rights.

 

2. Restrictions
You may not:
Decompile, disassemble, reverse engineer, or attempt to derive source code from the Licensed Software

Modify, adapt, or create derivative works based on the software

Rent, lease, sell, sublicense, or otherwise distribute the software to third parties

Use the Licensed Software for service bureau or time-sharing purposes

Circumvent or remove licensing mechanisms, digital rights management, or usage restrictions

You must ensure that all use of the software is lawful and in accordance with the Documentation.

 

3. Intellectual Property
Wrkfloz retains all rights, title, and interest in and to the Licensed Software, including all updates, enhancements, and any custom configurations developed during the term.

You agree not to remove, obscure, or alter any proprietary notices or branding from the software.

Feedback you provide may be used by Wrkfloz for product improvement without compensation or obligation.

4. Updates and Modifications
Wrkfloz may update or patch the Licensed Software at its discretion, which may include security updates, performance improvements, or new features.

Your continued use after updates constitutes acceptance of any revised terms applicable to those updates.

5. Term and Termination
This Agreement remains in effect:
For the duration of your subscription or license term, unless terminated earlier in accordance with this section.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches and fails to cure within thirty (30) days.

Upon termination:
All rights granted to you under this Agreement are revoked.

You must immediately stop using the Licensed Software and delete all copies from your systems.

Wrkfloz may revoke access credentials and block access to hosted services.

6. Warranty Disclaimer

The Licensed Software is provided “as is”. Wrkfloz makes no warranties, express or implied, including:
Fitness for a particular purpose

Merchantability

Non-infringement

Error-free operation or compatibility with all environments

7. Limitation of Liability
To the fullest extent permitted by law:
Wrkfloz shall not be liable for indirect, incidental, consequential, special, or exemplary damages

Wrkfloz’s total liability for claims arising under this Agreement will not exceed the fees paid by you for the software in the 12-month period prior to the claim

8. Export and Compliance
You agree not to export or allow access to the Licensed Software in violation of U.S. export control laws or regulations.

You are responsible for compliance with applicable laws in your jurisdiction related to software use.

9. Governing Law
This Agreement is governed by the laws of the State of Florida, USA. Any legal action must be brought in the courts located in Hillsborough County, Florida.

10. Entire Agreement
This Agreement, along with your Order Form and any accompanying Terms and Conditions, constitutes the full agreement between you and Wrkfloz regarding the Licensed Software. No oral or written statements not included herein are binding.
